End User License Agreement

PLEASE READ THIS END USER LICENSE AGREEMENT (“EULA”) CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING ANY SOFTWARE OR SERVICES PROVIDED BY VICINITY DIGITAL SOLUTIONS INC.

By downloading, installing, accessing, or using the mobile applications, web portals, POS software, or enterprise systems (the “Software”) provided by Vicinity Digital Solutions Inc. (“Licensor”), you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

1. Grant of License

Licensor grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely for your personal or authorized internal business operations in accordance with this Agreement and applicable service terms.

2. License Restrictions

You explicitly agree NOT to:

  • Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Software.
  • Modify, adapt, translate, or create derivative works from the Software.
  • Bypass or breach multi-tenant security boundaries, socket connection controls, or database access restrictions.
  • Rent, lease, lend, resell, sublicense, or distribute the Software to any unauthorized third party.
  • Use the Software for any unlawful activity or in violation of local laws.

3. Intellectual Property Rights

The Software, including all copyrights, patents, trademarks, trade secrets, software architecture, databases, UI designs, and source code, is and shall remain the sole and exclusive intellectual property of Vicinity Digital Solutions Inc. This EULA grants you a right to use the Software; it does not transfer ownership of any kind.

4. User Accounts & Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Licensor immediately of any unauthorized access or security breach.

5. Termination

This EULA is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and delete all copies from your devices.

6. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL VICINITY DIGITAL SOLUTIONS INC. BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING LOSS OF PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE, HOWEVER CAUSED.

8. Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the Republic of the Philippines. Any legal action or proceeding arising out of or relating to this EULA shall be brought exclusively in the competent courts of Metro Manila, Philippines.
